* Darwin Professional Underwriters Inc. - Farmington, Conn., 5.2 million shares, priced $15 to $17, managed by Merrill Lynch and Credit Suisse. Proposed NYSE Arca symbol: DR. Business: A specialty insurer focused on the professional liability insurance market and related lines.

* Penson Worldwide Inc. - Dallas, 7.5 million shares, priced $15 to $17, managed by J.P. Morgan Securities and Credit Suisse. Proposed Nasdaq symbol: PNSN. Business: Provides a broad range of securities-processing infrastructure products and services to the securities and investment industry.
