IMergent faces delisting

for missing filing deadline

Orem-based iMergent, an e-commerce company that markets software and services for small businesses, is facing delisting by the American Stock Exchange (AMEX).

The company announced Thursday it received notice Monday from AMEX that delisting was pending because iMergent had missed the deadline for filing its Form 10-K report for the fiscal year that ended June 30, 2005.

As a result, .LF for late filing will be added to its stock symbol - making it IIG.LF - until the omission is fixed.

A company statement said iMergent intends to inform AMEX by Oct. 24 of its plan for coming into compliance by Jan. 31, 2006. IMergent added that it had informed the stock exchange on Sept. 13 that its filing was going to be late, citing "management's continuing review of the appropriate interpretation and application of generally accepted accounting principles related to revenue recognition."

The potential delisting continues a troubled period for iMergent and its StoresOnline software and services program.

The company faces proposed federal class action lawsuits alleging securities violations, fraud and deceptive sales practices. It also is accused of providing misleading or false information that allegedly enabled it to profit from insider trading.

Business expo in Ogden

The Ogden/Weber Chamber of Commerce will host a free business expo Wednesday and Thursday at the Ogden Airport Gateway Center. The expo will feature more than 100 booths, free seminars, a skydiving show, helicopter rides and several networking opportunities.

Seminar topics include business tax tips, stress management and using research to improve profits. Grow Utah Ventures and Connect Magazine will host a Business Ignitor Series workshop on entrepreneurship in which participants can mingle with venture capitalists and engage in a question-and-answer session with Rick Adam, president and CEO of Adam Air.

Adam announced in March that his Denver-based company will open a plant in Ogden that will provide 300 to 500 high-paying jobs manufacturing a new generation of business jets.

Arts Festival receives medals

The Utah Arts Festival received three silver medals at the International Festivals & Events Association's (IFEA) 50th anniversary convention last month in San Antonio.

In the category for overall excellence among events with a budget of $500,000 to $1.5 million, the Arts Festival took second place. Competitors in this category included Walt Disney World's ESPN Weekend, the World Gourmet Summit in Singapore and the Cherry Creek Arts Festival in Denver.
